Agreement

These Terms of Service ("Terms") govern your use of the services provided by RO2 Labs LLC ("RO2 Labs," "we," "us"), including the ro2-labs.ai website, Private LLM API, AI Agent deployments, and DevBunker products. By accessing or using our services, you agree to be bound by these Terms.

If you are using our services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

Services

RO2 Labs provides private AI infrastructure, including LLM API access, custom AI agent development and deployment, and developer tooling. Specific service details, pricing, and feature availability are described on our website and may change over time.

We reserve the right to modify, suspend, or discontinue any service at any time with reasonable notice. For paid services, we will provide at least 30 days' notice before material changes take effect.

API usage

Acceptable use

You agree to use our API and services only for lawful purposes. You may not:

• Use our services to generate content that violates any law or regulation
• Attempt to reverse-engineer, decompile, or extract model weights from our infrastructure
• Resell or redistribute API access without written authorization
• Deliberately attempt to overload, disrupt, or compromise our systems
• Use our services to develop competing AI infrastructure products without prior agreement
• Transmit malware, exploits, or malicious payloads through our API

Rate limits

API access is subject to rate limits based on your subscription tier. Current rate limits are documented in our API documentation. We may adjust rate limits at any time to maintain service quality for all customers. If you consistently exceed your tier's limits, we will work with you to find an appropriate plan before restricting access.

API keys

You are responsible for keeping your API keys secure. Do not share keys publicly or embed them in client-side code. If you believe a key has been compromised, rotate it immediately and notify us. We are not liable for unauthorized usage resulting from compromised keys.

Intellectual property

Your data

You retain all rights to the data you send through our services. Your prompts, completions, documents, and other inputs remain your property. We claim no ownership of your content and, as described in our Privacy Policy, we do not use your data for training or any purpose beyond providing the requested service.

Our platform

The RO2 Labs platform, website, documentation, APIs, tooling, and all associated branding are the intellectual property of RO2 Labs LLC. You may not copy, modify, or create derivative works from our platform without written permission, except as necessary to use our services as intended (e.g., integrating with our API per our documentation).

AI-generated output

Output generated by our LLM API or AI Agents in response to your inputs belongs to you. We make no claim to AI-generated content produced from your prompts. However, we make no guarantees about the originality or legal status of AI-generated output — you are responsible for how you use it.

Payment and billing

Paid services are billed according to the pricing and terms in effect at the time of purchase. Subscription fees are billed in advance. Usage-based charges (API calls beyond your tier) are billed in arrears.

If payment fails, we will attempt to notify you and provide a reasonable grace period before suspending access. Refunds are handled on a case-by-case basis — if something goes wrong on our end, we will make it right.

Service availability

We aim to keep our services available and performant, but we do not guarantee any specific uptime percentage or SLA at this time. We are a small, bootstrapped company running on dedicated hardware — not a hyperscale cloud provider.

We will provide reasonable notice of planned maintenance. In the event of unplanned downtime, we will communicate status through our website and email where possible.

We are not liable for losses resulting from service interruptions, whether planned or unplanned.

Limitation of liability

To the maximum extent permitted by applicable law, RO2 Labs LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of or inability to use our services.

Our total aggregate liability for any claims arising from these Terms or your use of our services shall not exceed the amount you paid to RO2 Labs in the twelve (12) months preceding the claim.

Our services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

Indemnification

You agree to indemnify and hold harmless RO2 Labs LLC, its officers, and employees from any claims, damages, or expenses arising from your use of our services in violation of these Terms or applicable law.

Termination

Either party may terminate this agreement at any time. You may stop using our services and request account deletion at any time by emailing hello@ro2-labs.ai.

We may suspend or terminate your access if you violate these Terms, use our services for illegal purposes, or engage in activity that threatens our infrastructure or other customers. Where possible, we will provide notice and an opportunity to remedy the issue before termination.

Upon termination, your right to use our services ceases immediately. Sections relating to intellectual property, limitation of liability, indemnification, and governing law survive termination.

Governing law

These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of our services shall be resolved in the state or federal courts located in Travis County, Texas.

Changes to these terms

We may update these Terms from time to time. Material changes will be communicated via email or a prominent notice on our website at least 30 days before they take effect. Continued use of our services after changes take effect constitutes acceptance of the updated Terms.
